1. ACCEPTANCE OF TERMS
1.1. These Terms and Conditions ("Terms") constitute a legally binding agreement between A1 SF Services Private Limited ("the Company," "We," "Us," "Our") and the client entity or individual ("the Client," "You," "Your") engaging our services. 1.2. By signing a service agreement, issuing a purchase order, or availing of any services provided by the Company, the Client agrees to be bound by these Terms. 1.3. These Terms supersede any prior agreements or understandings, whether written or oral.
2. SCOPE OF SERVICES
2.1. The Company provides premier security solutions, including but not limited to manned guarding, electronic surveillance, access control, risk assessment, and smart technology integration. 2.2. The specific details of the services, number of personnel, technology deployed, and location shall be as per the specific Service Order or Contract issued between the Parties. 2.3. The Company reserves the right to modify the scope of services based on risk assessment or operational requirements, subject to prior notice to the Client.
3. CLIENT OBLIGATIONS
To ensure the effectiveness of the security measures, the Client agrees to: 3.1. Provide a safe working environment for the Company's personnel, including adequate lighting, shelter, and access to basic amenities. 3.2. Grant necessary access rights to the premises for security personnel and maintenance of technology. 3.3. Inform the Company immediately of any specific threats, high-value assets, or hazardous materials present on the premises. 3.4. Cooperate with the Company's personnel in the enforcement of security protocols. 3.5. Ensure that all statutory clearances required for the Client's business operations are valid and up to date.
4. FEES AND PAYMENT
4.1. Invoicing: The Company shall raise invoices monthly in advance or as per the agreed billing cycle. 4.2. Payment Terms: Payments are due within 15 or 30 days from the date of the invoice. 4.3. Taxes: All fees are exclusive of Goods and Services Tax (GST) and other applicable statutory levies, which shall be borne by the Client. 4.4. Late Payment: Overdue payments shall attract interest at the rate of 2% per month or the maximum rate permitted by law, whichever is lower. 4.5. Suspension of Service: The Company reserves the right to suspend services if payments are overdue by more than 30 days, without liability for any resulting security lapses.
5. LIMITATION OF LIABILITY AND DISCLAIMER
5.1. No Absolute Guarantee: While A1 SF Services Private Limited is committed to "Guarding Trust and Delivering Peace," the Client acknowledges that security services are preventive in nature. The Company does not guarantee the absolute prevention of theft, loss, damage, injury, or unauthorized access. 5.2. Standard of Care: The Company shall exercise reasonable care, diligence, and professional skill consistent with industry standards in Eastern India. 5.3. Liability Cap: In the event of proven gross negligence by the Company's personnel, the Company's total liability shall be limited to three times the monthly service fee or the value of the loss, whichever is lower. 5.4. Exclusions: The Company shall not be liable for losses arising from: (a) Force Majeure events (acts of God, war, riots, natural disasters). (b) Failure of Client-provided infrastructure (power, internet, hardware). (c) Acts of persons not employed by the Company. (d) Information or assets not declared to the Company during risk assessment.
6. CONFIDENTIALITY
6.1. The Company acknowledges that it may have access to confidential information regarding the Client's business, premises, and operations. 6.2. The Company agrees to keep all such information confidential and shall not disclose it to third parties, except as required by law or to regulatory authorities. 6.3. This clause shall survive the termination of the agreement.
7. PERSONNEL AND CONDUCT
7.1. All security personnel deployed are trained and vetted by the Company. 7.2. The Client may request the replacement of any security personnel for valid reasons (e.g., misconduct, incompetence). The Company shall endeavor to replace such personnel within 48 hours. 7.3. The Client shall not directly employ or hire any Company personnel during the contract term and for a period of 6 months post-termination without paying a recruitment fee.
8. TERMINATION
8.1. For Convenience: Either party may terminate this agreement by providing 30 days written notice. 8.2. For Cause: Either party may terminate immediately upon written notice if the other party commits a material breach of these Terms and fails to remedy such breach within [Insert Days] days of notice. 8.3. Effect of Termination: Upon termination, the Client shall pay all outstanding dues up to the date of termination. The Company shall withdraw its personnel and equipment peacefully.
9. INDEMNIFICATION
The Client agrees to indemnify and hold harmless A1 SF Services Private Limited against any claims, losses, or damages arising out of: 9.1. The Client's negligence or failure to fulfill their obligations under Clause 3. 9.2. False alarms triggered due to Client equipment malfunction. 9.3. Legal actions taken against security personnel while acting in bona fide defense of the Client's premises.
10. GOVERNING LAW AND JURISDICTION
10.1. These Terms shall be governed by and construed in accordance with the laws of India. 10.2. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in Asaansol, Eastern India. 10.3. Prior to litigation, both parties agree to attempt to resolve disputes through good-faith negotiation or arbitration.
11. GENERAL PROVISIONS
11.1. Amendments: Any changes to these Terms must be in writing and signed by authorized representatives of both parties. 11.2. Severability: If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect. 11.3. Assignment: The Client may not assign their rights or obligations under this agreement without the prior written consent of the Company.
